Before signing any
Save evidence such as email exchanges, bids, quotations, and contract drafts, and clarify the service provider’s contact person and scope of authorization. If the other party is an overseas company, you should verify the actual controller and pay attention to whether there is a risk of insolvency or sanctions.
Core terms include: clear service content and delivery scope, specific values of SLA (Service Level Agreement) (bandwidth, delay, packet loss, availability), fault response and repair time limits, maintenance windows and change processes, as well as performance monitoring and acceptance criteria. Quantified liquidated damages or deduction mechanisms should be agreed upon for key indicators to avoid general statements that may cause future disputes. At the same time, backup links, failover mechanisms and emergency contact lists are clarified to reduce business losses and contract risks caused by service interruptions.
Add technical specifications, test methods and acceptance criteria as annexes to the contract, stipulate the testing tools and data sampling methods of both parties, and all technical documents should be signed for confirmation to avoid disputes caused by inconsistent understanding of parameters afterwards.

If the service involves cross-border data transfer or user data storage in Singapore nodes, the data classification, processing purposes, local applicable privacy laws (such as the Singapore Personal Data Protection Act (PDPA)) and the compliance obligations of both parties must be clearly stated in the contract. Agree on encryption standards, access control, log retention period, data backup and destruction process, as well as notification time limit and cooperation obligations in the event of data leakage. For high-risk data, an independent "Data Processing Agreement (DPA)" can be added, and compensation responsibilities and compliance audit rights can be stipulated to reduce "legal risks" and the risk of regulatory penalties.
Stipulate the processing procedures, sharing of responsibilities and costs between the two parties when receiving data subjects exercising their rights or conducting investigations by supervisory authorities, and clarifying which party is responsible for responding to requests and providing records to avoid administrative or civil liability due to improper response.
Liability for breach of contract should be accountable and evidence-based: clarify the circumstances of the breach of contract, the calculation method of liquidated damages and the upper limit of compensation (liability limit), and the standard of proof for loss compensation. The exemption of force majeure and indirect losses should be carefully agreed upon to prevent one party from completely avoiding liability through broad exemption clauses. It is recommended to adopt a two-way limitation of liability (mutual limitation of liability), clarify the scope of direct loss compensation caused by failure, and retain the agreement that the limitation of liability clause will not apply due to gross negligence or intentional behavior. At the same time, insurance requirements (such as network and commercial comprehensive insurance) are agreed upon to increase risk transfer means.
Try to use quantifiable liquidated damages (such as hourly/day deductions), and stipulate in the contract the order and execution method of priority deduction of liquidated damages, so as to avoid difficulties in actual implementation due to disputes over amounts when making claims.
The dispute resolution clause must specify the applicable law, the competent court or arbitration institution, and the place of arbitration. If Singapore law or Singapore arbitration is preferred, the enforceability of the judgment/award can be improved, but cost and jurisdictional convenience must also be considered. When agreeing on arbitration, the arbitration rules, number of arbitrators, language and emergency arbitration procedures need to be stated; when agreeing on the jurisdiction of the court, exclusive/non-exclusive jurisdiction should be specified. It should also include the application method for interim relief (such as preservation and injunction) and the cooperation obligations of both parties, and clearly define the service address and document language to avoid increasing litigation costs due to procedural issues.
